Declet Designs Custom Child Theme License Agreement

This License Agreement (“Agreement”) is made effective as of the date of purchase (“Effective Date”) by and between Declet Designs, a business operating under the laws of the state of Georgia (“Licensor”), and the purchaser (“Licensee”). By purchasing, downloading, installing, or using the custom child theme (“Theme”), Licensee agrees to be bound by the terms and conditions of this Agreement.

1. License Grant Licensor grants Licensee a non-exclusive, non-transferable, and revocable license to use the Theme on a single website owned or controlled by Licensee. This license is for personal and commercial use by the Licensee in their dietitian private practice only.
2. Permitted Uses and Restrictions a. Licensee may: i. Use the Theme for the purpose of creating a website for their dietitian private practice. ii. Modify or customize the Theme to better suit their needs. b. Licensee may not: i. Distribute, resell, lease, license, or sublicense the Theme or any derivative works based on the Theme to any third party. ii. Use the Theme on more than one website without purchasing an additional license for each additional website. iii. Remove or alter any proprietary notices, labels, or marks on the Theme.
3. Ownership Licensor retains all rights, title, and interest in and to the Theme, including all intellectual property rights. This Agreement does not grant Licensee any ownership rights to the Theme.
4. Support and Updates Licensor will provide support and updates for the Theme for a period of six (6) months from the Effective Date. Licensee may purchase extended support and updates separately.
5. Term and Termination This Agreement is effective from the Effective Date and will continue until terminated. Licensor may terminate this Agreement if Licensee fails to comply with any terms and conditions of this Agreement. Upon termination, Licensee must cease all use of the Theme and destroy all copies, full or partial, of the Theme.
6. Limitation of Liability To the maximum extent permitted by law, Licensor shall not be liable for any indirect, incidental, special, or consequential damages, or any loss of revenue or profits, data, or data use, arising out of or in connection with the use of the Theme.
7. Disclaimer of Warranties The Theme is provided “as is,” without warranty of any kind, express or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose. Licensor does not warrant that the Theme will be error-free or that it will meet Licensee’s requirements.
8. Governing Law This Agreement shall be governed by and construed in accordance with the laws of the state of Georgia, without regard to its conflict of laws principles.
9. Entire Agreement This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous agreements or understandings, whether written or oral, relating to the subject matter hereof.

By purchasing, downloading, installing, or using the Theme, Licensee acknowledges that they have read and understood this Agreement and agree to be bound by its terms and conditions.
